Welcome to Grokal. These Terms and Conditions govern your use of our platform, services, and applications. By accessing or using Grokal, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1.Acceptance of Terms

By creating an account, placing an order, or using any Grokal service (website, mobile app, or other platforms), you agree to comply with these Terms and Conditions, our Privacy Policy, and all applicable laws and regulations. If you do not agree with any part of these Terms, you must discontinue use of our services immediately.

2.Services Provided

Grokal operates as an online grocery delivery platform that connects customers with local vendors, suppliers, and delivery partners. Our services include:

• Online ordering of groceries, fresh produce, fruits, vegetables, and household essentials
• Doorstep delivery through our network of delivery partners
• Real-time order tracking and customer support
• Multiple payment options including digital wallets, cards, and cash on delivery

Grokal acts as a facilitator between customers and vendors. We do not manufacture, store, or own the products listed on our platform unless explicitly stated.

3.User Accounts & Eligibility

To use certain features of Grokal, you must register and create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information promptly
• Keep your password confidential and secure
• Be at least 18 years of age or have parental/guardian consent
• Accept responsibility for all activities under your account

You must notify us immediately of any unauthorized use of your account. Grokal is not liable for any loss or damage arising from your failure to protect your account credentials.

Grokal aims to deliver orders within the estimated timeframe displayed at checkout. However, delivery times are estimates and may vary due to:

• Weather conditions, traffic, or unforeseen circumstances
• Incorrect or incomplete delivery addresses
• Unavailability of recipient at delivery location
• High demand periods or operational challenges

You must ensure someone is available to receive the order. If delivery cannot be completed due to your unavailability or incorrect address, additional charges may apply for re-delivery attempts.

While Grokal works with trusted vendors and partners, we do not guarantee the quality, safety, or legality of products sold through our platform. Vendors are responsible for product quality and compliance with food safety standards. Grokal is not liable for issues arising from product consumption, allergic reactions, or health concerns. Customers should inspect products upon delivery and report any concerns immediately.

8.Prohibited Activities

You agree not to:

• Use Grokal for any unlawful, fraudulent, or unauthorized purpose
• Interfere with or disrupt the platform's operation, security, or servers
• Attempt to gain unauthorized access to systems, accounts, or data
• Manipulate prices, offers, promotions, or referral programs
• Upload malicious code, viruses, or harmful content
• Harass, abuse, or threaten delivery partners, customer support, or other users
• Use automated systems (bots, scrapers) to access the platform without permission
• Resell products purchased through Grokal for commercial purposes without authorization

Violation of these terms may result in immediate account suspension or termination and potential legal action.

9.Intellectual Property Rights

All content on the Grokal platform, including but not limited to logos, trademarks, branding, text, images, graphics, software code, user interface design, and proprietary technology (built with Next.js, TypeScript, Tailwind CSS, and other frameworks), is the exclusive property of Grokal or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, modify, or create derivative works without express written permission from Grokal.

10.Privacy & Data Protection

Your privacy is important to us. Our collection, use, and protection of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Grokal, you consent to the collection and use of your data as described in our Privacy Policy.

11.Limitation of Liability

To the maximum extent permitted by law, Grokal, its directors, employees, partners, and affiliates shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Delays in delivery or service interruptions
• Acts or omissions of third-party vendors, delivery partners, or payment processors
• Product quality, freshness, or fitness for particular purposes
• Errors, bugs, or technical issues with the platform

Our total liability for any claim arising from your use of Grokal shall not exceed the amount paid by you for the specific transaction giving rise to the claim.

12.Indemnification

You agree to indemnify, defend, and hold harmless Grokal and its affiliates from any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising from your violation of these Terms, misuse of the platform, or infringement of any third-party rights.

13.Account Suspension & Termination

Grokal reserves the right to suspend, restrict, or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or misused our services. Upon termination, you lose access to your account and any pending orders may be cancelled. Grokal is not liable for any losses resulting from account termination.

14.Dispute Resolution & Governing Law

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms or your use of Grokal shall be subject to the exclusive jurisdiction of the courts in Gurugram, Haryana, India.

We encourage you to contact our customer support team to resolve any disputes informally before pursuing legal action.

15.Force Majeure

Grokal shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, government actions, strikes, wars, riots, technical failures, or other force majeure events.

16.Modifications to Terms

Grokal reserves the right to modify, update, or revise these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of Grokal after such changes constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically.

17.Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

18.Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the platform, constitute the entire agreement between you and Grokal regarding your use of our services.
